Vice President of Legal

As VP of Legal at Ironclad, you’ll serve as our top legal advisor, helping guide the company through growth with smart risk management and legal strategy. You’ll oversee legal matters related to contracts, compliance, governance, and regulatory issues while building strong partnerships with leaders across the business.

You’ll make an immediate impact by shaping policy, reviewing commercial agreements, and ensuring we stay ahead of legal and regulatory changes. This role is a critical part of our leadership team and will help ensure Ironclad’s continued growth and long-term success.

What You'll Do:

• Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company’s legal strategy on a broad range of matters related to new initiatives and products, liabilities, and other corporate, transactional, and regulatory matters. The company rents equipment and provides services.
• Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the company and its subsidiaries.
• Manage federal and state regulatory strategy and compliance and develop state-specific regulatory guidance.
• Partner with the HR team on global employment practices, employment handbook updates, compliance training, and new country expansions.
• Oversee the improvement of legal department processes to increase efficiency and mitigate legal risks.
• Review and advise on a range of agreements, including corporate, employment, and commercial (buy and sell side) agreements.
• Provide legal support over compliance initiatives.
• Broad range of responsibilities. You’ll draft and negotiate commercial partnerships, vendor, and sales agreements. You’ll help to maintain and update existing templates and contracting processes for our global products. You’ll make an immediate impact through sound business judgment and ability to translate business concepts to clear, legal drafting to protect the business and achieve business goals.
• Draft and negotiate a broad range of agreements, including sales, vendor, and partnership agreements.
• Maintain and update existing templates and contracting processes.
• Design, build, and improve legal department processes.
• Support and implement contracting strategies.

Requirements:

• JD from an accredited law school and active license to practice law in at least one U.S. state
• 10+ years of relevant legal experience, including in-house counsel experience or at a law firm
• Deep experience with contracts, compliance, corporate governance, and regulatory matters
• Strong business judgment and ability to align legal advice with business goals
• Excellent written and verbal communication skills
• Experience in equipment rental, industrial services, or a similar industry is a plus
